Terms of Participation

Terms & Conditions for Executive Programme Attendance

These Terms & Conditions govern registration, payment, participation, cancellation, substitution and related matters for delegates attending TMC EXE open-enrolment executive programmes, unless otherwise agreed in writing.

By registering for a TMC EXE programme, delegates and sponsoring organisations agree to be bound by these Terms & Conditions.

For Executive Participants

These terms apply to senior executives, directors, public leaders, managers, professionals and delegates attending TMC EXE open-enrolment programmes.

For Sponsoring Organisations

Where an organisation registers or pays on behalf of a delegate, the organisation accepts responsibility for ensuring that the delegate is aware of and bound by these terms.

Written Agreements Prevail

If TMC EXE has entered into a separate written agreement with a client organisation, that agreement shall prevail where its provisions differ from these terms.

Registration & Contract Formation

  1. These Terms & Conditions apply to all open-enrolment executive programmes delivered by TMC EXE unless otherwise expressly agreed in writing.
  2. A binding contract shall arise when:
    • a registration is submitted by the delegate or sponsoring organisation;
    • these Terms & Conditions are accepted; and
    • TMC EXE issues written confirmation of acceptance.
  3. Where a registration is submitted by an organisation on behalf of a delegate, that organisation warrants that it has authority to bind itself and the delegate to these Terms & Conditions.
  4. Any separate written agreement signed by TMC EXE and the client organisation shall prevail over these Terms & Conditions to the extent of any inconsistency.
  5. TMC EXE reserves the right, at its sole discretion, to refuse any registration where it considers such refusal appropriate for operational, academic, professional, security or compliance reasons.

Fees & Payment Terms

  1. All programme fees must be paid in full in advance unless TMC EXE has expressly agreed otherwise in writing.
  2. A delegate’s place shall not be treated as fully secured until cleared funds have been received by TMC EXE.
  3. For registrations made within 40 working days of the programme start date, payment becomes immediately due and payable.
  4. TMC EXE reserves the right to withhold attendance, joining instructions, venue details, materials, certification and participation rights where fees remain unpaid.
  5. Delegates with unpaid fees will not be permitted to attend the programme.
  6. Due to venue, scheduling and delivery commitments, late payment may not guarantee participation even where a registration request has been submitted or provisionally acknowledged.
  7. To support logistics and delegate planning, TMC EXE strongly recommends payment no later than 14 working days before the programme start date.
  8. All bank transfer charges, intermediary bank charges, withholding taxes, local taxes and similar costs shall be borne by the payer.
  9. Unless expressly stated otherwise, all published fees are exclusive of any taxes, duties or charges applicable in the delegate’s or client’s jurisdiction.

Delegate Substitutions

  1. A confirmed delegate may be substituted by another delegate from the same organisation, subject to prior written notice and approval by TMC EXE.
  2. TMC EXE may refuse a substitution where the proposed substitute is not appropriate for the level, audience, subject matter, security profile or intended learning group of the programme.
  3. Any substitution request should be submitted sufficiently in advance of the programme start date to permit administrative processing.

Cancellations, Transfers & Refunds

Cancellation notices

All cancellation requests must be submitted in writing by email. A cancellation shall only be effective when received by TMC EXE.

  1. Cancellations received 40 or more working days before the programme start date: where no substitute is provided, TMC EXE may refund the programme fee less a 35% administration charge.
  2. Cancellations received between 30 and 40 working days before the programme start date: no refund shall be payable. However, TMC EXE may, at its discretion, offer a one-time courtesy transfer to another eligible 3–5 day open-enrolment programme.
  3. Any approved transfer must be used within 2 months of the original programme date unless TMC EXE agrees otherwise in writing.
  4. Cancellations received less than 30 working days before the programme start date: no refund, transfer, postponement or credit shall be available.
  5. Failure to attend all or any part of the programme without prior written notice shall be treated as a no-show, and no refund, transfer or credit shall arise.
  6. Where a delegate or sponsoring organisation becomes liable under this clause before payment has been made, the full applicable amount shall remain immediately due and payable.
  7. TMC EXE may, entirely at its discretion and without creating any obligation to do so in future cases, offer a transfer, credit or alternative arrangement on an exceptional basis.

Attendance, Participation & Certification

  1. Delegates are required to attend punctually and complete registration formalities on Day One at the time specified in the joining instructions.
  2. All delegates must register on Day One at the attendance desk before the stated programme start time.
  3. Delegates are responsible for collecting programme packs, badges and related documentation at registration.
  4. TMC EXE reserves the right to determine whether a delegate who misses part of the programme, including all or part of Day One, may continue to participate.
  5. Certificates of attendance or participation shall be issued only where TMC EXE is satisfied that the delegate has attended to an appropriate extent.
  6. TMC EXE may maintain attendance and participation records for quality assurance, administration, compliance and certification purposes.
  7. Any materials sent after the programme are provided as a courtesy only and do not constitute a substitute for live participation.

Programme Delivery & Changes

  1. TMC EXE reserves the right to make reasonable changes to any aspect of a programme, including faculty, speakers, facilitators, venue, schedule, title, sequence of sessions, structure, supporting materials and delivery format.
  2. Where delegate numbers are low, TMC EXE may, at its discretion:
    • deliver the full programme content within a revised timetable;
    • condense the programme into fewer days or adjusted hours; or
    • combine the programme with another suitable executive or leadership programme.
  3. TMC EXE may deliver a programme in person, online, or in blended format where reasonably necessary.
  4. TMC EXE shall not be obliged to replicate a programme precisely as originally described where reasonable adjustments are required for quality, logistics, safety, operational continuity or delegate value.
  5. TMC EXE rarely cancels programmes on the basis of attendance numbers alone.

Travel, Visas & Accommodation

  1. Delegates are solely responsible for arranging and paying for all travel, visas, accommodation, insurance and related costs unless TMC EXE expressly agrees otherwise in writing.
  2. Delegates and sponsoring organisations should avoid making non-refundable travel or accommodation commitments unless they are satisfied that attendance is confirmed and all applicable payment requirements have been fulfilled.
  3. Any visa support document, invitation letter or attendance support letter is issued solely at the discretion of TMC EXE.
  4. TMC EXE may require full payment before considering any request for visa-related supporting documentation.
  5. TMC EXE accepts no liability for visa refusals, embassy delays, travel disruption, airline cancellations, border restrictions, accommodation losses or any other third-party costs or losses.

Intellectual Property & Materials

  1. All programme content, methods, frameworks, slides, notes, handouts, recordings, cases, templates, tools and supporting materials remain the intellectual property of TMC EXE or its licensors.
  2. Such materials are provided solely for the personal professional use of the registered delegate and may not be copied, reproduced, distributed, uploaded, published, transmitted, sold, licensed or commercially exploited without prior written permission.
  3. Delegates shall not audio record, video record, livestream, photograph for redistribution, or otherwise reproduce programme sessions unless expressly authorised in writing by TMC EXE.
  4. TMC EXE may photograph or record limited aspects of the event for internal documentation, quality purposes or marketing. Delegates who object should notify TMC EXE in advance or at registration.

Delegate Conduct

  1. Delegates must conduct themselves in a professional, respectful and lawful manner throughout the programme.
  2. TMC EXE reserves the right to exclude or remove any delegate whose behaviour is, in TMC EXE’s opinion, disruptive, abusive, threatening, discriminatory, unlawful, unsafe or otherwise inconsistent with the executive nature and standards of the programme.
  3. Where a delegate is excluded or removed for conduct reasons, no refund, transfer, credit or compensation shall be payable.

Liability

  1. Nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability which cannot lawfully be excluded or limited.
  2. Subject to clause 10.1, TMC EXE shall not be liable for any indirect, incidental, special or consequential loss, including loss of profit, loss of business, loss of opportunity, loss of goodwill, travel loss or accommodation loss.
  3. Subject to clause 10.1, TMC EXE’s total aggregate liability arising out of or in connection with any programme, whether in contract, tort, negligence, statutory duty or otherwise, shall not exceed the amount of the relevant fee actually received by TMC EXE for that programme.
  4. Delegates are responsible for the security of their own personal belongings, computers, documents and valuables while attending or travelling to and from the programme.

Force Majeure

  1. TMC EXE shall not be liable for any failure, delay, postponement, cancellation or change caused by events beyond its reasonable control, including but not limited to acts of God, severe weather, epidemic, pandemic, government restrictions, war, civil unrest, strikes, venue failure, transport disruption, utility failure, or other force majeure events.
  2. In such circumstances, TMC EXE may, at its discretion, reschedule, relocate, reformat, shorten, postpone, combine or otherwise amend the programme, or offer such alternative arrangement as it considers reasonable.

Data Protection & Privacy

  1. TMC EXE may collect and process personal data relating to delegates and sponsoring organisations for registration, programme administration, payment processing, communication, certification, service delivery and legitimate business administration purposes.
  2. By registering a delegate, the delegate and any sponsoring organisation confirm that the information supplied may be used for those purposes.
  3. TMC EXE shall handle personal data in accordance with its applicable privacy obligations and internal privacy practices.

Governing Law & Jurisdiction

  1. These Terms & Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
  2. The courts of England shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms & Conditions, unless otherwise expressly agreed in writing.

TMC EXE reserves the right to amend these Terms & Conditions from time to time. The version in force at the date of registration shall ordinarily apply to the relevant booking unless otherwise agreed in writing.
